Process
How a GmbH formation works
01
Preparation
You tell us the company name, registered office, business purpose, shareholders, share capital and management. We prepare the drafts.
02
Notarisation
The articles of association and the appointment of the managing directors are notarised – at the office or by video.
03
Share capital
The shareholders pay their contributions into the business account and confirm this.
04
Commercial register
We file the company electronically with the commercial register. The GmbH comes into existence upon registration.
Documents
What to bring

Costs
What does the notary cost?
Notary fees are set by law for all notaries in Germany (Court and Notary Fees Act, GNotKG). They depend on the value and type of the transaction – not on the time spent.
We are happy to give you a cost estimate for your matter in advance.
Frequently asked questions
Questions and answers
How much share capital does a GmbH need?
At least 25,000 euros. For a cash formation, at least half must be paid in before the application is filed. A UG (limited liability) can be formed with as little as 1 euro.
Can I form a GmbH online?
Yes. Since August 2022 a GmbH can be formed by video communication with the notary, and since August 2023 this also applies to many formations with contributions in kind. Excluded are contributions in kind that themselves require notarisation, such as real estate.
What is a model protocol?
A statutory standard contract for simple formations with up to three shareholders and one managing director. We will discuss in advance whether it suits you.
Do share transfers have to be notarised?
Yes. The assignment of GmbH shares must be notarised (section 15 GmbHG).
